2. Scope of Services

Headwall Construction LLC is a licensed General Contractor in the State of Wyoming. Services provided include, but are not limited to, luxury residential construction, commercial build-outs, pre-construction consulting, and Owner’s Representation. All specific project scopes are governed by a separate Master Service Agreement (MSA) or AIA Contract, which shall supersede these website terms in the event of a conflict.

3. Billing, Payments, & Merchant Terms

To facilitate secure financial transactions, we utilize third-party payment processors. By settling an invoice through our portal, you agree to the following:

• Authorization: You authorize Headwall Construction LLC to charge your selected payment method for the milestone amount specified on your digital invoice.
• Credit Card Surcharges: Pursuant to Wyoming law, credit card transactions may be subject to a processing fee as disclosed at the time of checkout.
• ACH/Wire Transfers: For high-value disbursements, ACH or Bank Wire is the preferred method to ensure rapid project funding and allocation.
• Accuracy: You must provide current, complete, and accurate billing information. We reserve the right to refuse service or cancel orders if fraud or an unauthorized transaction is suspected.

4. Project Delays & Force Majeure

Construction in Teton County is subject to unique environmental conditions. Headwall Construction LLC shall not be liable for any failure or delay in performance due to “Force Majeure” events, including but not limited to: extreme winter weather, tectonic activity, supply chain disruptions, government-mandated permit delays, or national emergencies. We will provide written notice of such delays through our digital management portal.

5. Intellectual Property

All architectural renderings, blueprints, site-specific photography, and digital content displayed on headwallj.com are the exclusive property of Headwall Construction LLC. Unauthorized reproduction or use of our “Headwall Methodology” or structural designs is strictly prohibited.

6. Governing Law & Venue

Any claim relating to Headwall Construction LLC shall be governed by the laws of the State of Wyoming without regard to its conflict of law provisions. You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Teton County, Wyoming.

7. Limitation of Liability

In no event shall Headwall Construction LLC or its subcontractors be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on this website or the performance of construction services, even if a Company authorized representative has been notified orally or in writing of the possibility of such damage.
